1-10 AN ACT
1-11 relating to the board of directors of the Edwards Aquifer Authority
1-12 and the management of the Edwards Aquifer.
1-13 BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
1-14 SECTION 1. Article 1, Chapter 626, Acts of the 73rd
1-15 Legislature, Regular Session, 1993, is amended by amending Section
1-16 1.09 and by adding Sections 1.091, 1.092, and 1.093 to read as
1-17 follows:
1-18 Sec. 1.09. BOARD OF DIRECTORS; ELECTIONS; TERMS. (a) The
1-19 authority is governed by a board of directors composed of 15
1-20 directors elected from the single-member election districts
1-21 described by Section 1.093 of this article and two directors
1-22 appointed as provided by Section 1.091 of this article. The
1-23 elected directors serve staggered four-year terms with as near as
1-24 possible to one-half of the members' terms expiring December 1 of
1-25 each even-numbered year.
1-26 (b) The board shall order elections of the appropriate
1-27 number of directors to replace directors holding elected offices
1-28 whose terms are nearest expiration to be held on the uniform
1-29 election date in November of each odd-numbered year.
1-30 (c) If a director's position becomes vacant for any reason,
1-31 the board shall appoint a qualified person to serve until the first
1-32 election of directors following the appointment. If the position
1-33 is not scheduled to be filled at that election, the board shall
1-34 provide for a director to be elected at that election to serve in
1-35 the position for the remainder of the unexpired term. <board of

1-37 <(b) The board consists of:>
1-38 <(1) a member appointed by the South Central Texas
1-39 Water Advisory Committee created by this Act;>
1-40 <(2) three residents of Bexar County, with two
1-41 residents appointed by the governing body of the city of San
1-42 Antonio and one resident appointed by the Commissioners Court of
1-43 Bexar County to represent cities and communities in the county
1-44 other than the city of San Antonio;>
1-45 <(3) one resident of Comal County or the city of New
1-46 Braunfels appointed by the Commissioners Court of Comal County;>
1-47 <(4) one resident of Hays County appointed by the
1-48 governing body of the city of San Marcos;>
1-49 <(5) one resident of Medina County appointed by the
1-50 governing body of the Medina Underground Water Conservation
1-51 District;>
1-52 <(6) one resident of Uvalde County appointed by the
1-53 governing body of the Uvalde Underground Water Conservation
1-54 District; and>
1-55 <(7) one person appointed in rotation who is from
1-56 Atascosa, Medina, or Uvalde counties, with that person appointed by
1-57 the governing body of the Evergreen Underground Water District, by
1-58 the Medina Underground Water Conservation District, or by the
1-59 Uvalde County Underground Water Conservation District, with the
1-60 person appointed by the Evergreen Underground Water District
1-61 serving the first term, followed by a person appointed by the
1-62 Medina Underground Water Conservation District to serve the second
1-63 term, followed by a person appointed by the Uvalde County
1-64 Underground Water Conservation District to serve the third term,
1-65 and rotating in that order of appointment for subsequent terms.>
1-66 <(c) The Commissioners Court of Bexar County and the
1-67 governing body of the city of San Antonio shall make appointments
1-68 under Subsection (b) of this section that accurately reflect the
2-1 ethnic composition of the population of Bexar County.>
2-2 <(d) The initial directors of the board shall draw lots to
2-3 determine their terms. Four initial directors serve terms that
2-4 expire June 1, 1995. Five initial directors serve terms that
2-5 expire June 1, 1997. Subsequent directors shall be appointed to
2-6 serve staggered four-year terms, the appropriate number of which
2-7 expire June 1 of each odd-numbered year.>
2-8 (d) <(e)> At the initial meeting of the board following an
2-9 election of new directors, the directors <members> shall elect a
2-10 <select one member to serve as> presiding officer and other
2-11 necessary officers. Officers serve terms <The presiding officer
2-12 serves a term> set by rule of the board not to exceed two <four>
2-13 years.
2-14 (e) An act of the board is not valid unless adopted by the
2-15 affirmative vote of a majority of the directors who are entitled to
2-16 vote when a quorum is present. For purposes of this subsection,
2-17 eight directors who are entitled to vote constitute a quorum
2-18 <members of the board>.
2-19 (f) A director <board member> receives no compensation for
2-20 service on the board but is entitled to reimbursement for actual
2-21 and necessary expenses incurred in the performance of the
2-22 director's <member's> duties.
2-23 (g) An elected director <A board member> shall hold office
2-24 until a successor has been elected <selected and approved> and has
2-25 qualified by taking the oath of office.
2-26 <(h) If a vacancy on the board occurs, the governing body
2-27 that appointed the vacating member shall appoint another person
2-28 having the same qualifications required of the vacating member to
2-29 serve the unexpired portion of the vacating member's term.>
2-30 Sec. 1.091. NONVOTING MEMBERS OF BOARD. (a) In addition to
2-31 the directors provided by Section 1.09 of this article, the board
2-32 includes two nonvoting directors appointed as provided by this
2-33 section.
2-34 (b) One nonvoting director shall be appointed by a majority
2-35 vote of the South Central Texas Water Advisory Committee from among
2-36 the members of the committee.
2-37 (c) One nonvoting director shall be appointed by the board
2-38 of directors of the Evergreen Underground Water Conservation
2-39 District. The director must be a resident of Atascosa County, Frio
2-40 County, or Wilson County.
2-41 (d) A director appointed under this section serves a
2-42 four-year term. The terms of the initial directors appointed under
2-43 this section begin December 1, 1996, and expire December 1, 2000.
2-44 Subsequent regular appointments under this section shall be made on
2-45 or before the date of the directors election held for the
2-46 even-numbered election districts described by Section 1.093 of this
2-47 article. Subsequently appointed directors' terms expire December 1
2-48 following the appointment of the directors' successors. If the
2-49 office of a director appointed under this section becomes vacant
2-50 for any reason, the office shall be filled by appointment as
2-51 provided by Subsection (b) or (c) of this section, as appropriate,
2-52 for the unexpired portion of the term.
2-53 (e) A director appointed under this section is entitled to
2-54 participate in and comment on any matter before the board in the
2-55 same manner as a voting director, except that a director appointed
2-56 under this section may not vote on any matter before the board.
2-57 (f) A director appointed under this section is not entitled
2-58 to compensation for service on the board but may be reimbursed for
2-59 actual and necessary expenses incurred in performing the director's
2-60 duties.
2-61 Sec. 1.092. TEMPORARY BOARD AND INITIAL ELECTION OF
2-62 DIRECTORS. (a) Until a board is elected as provided by this
2-63 section and takes office, the authority is governed by a temporary
2-64 board that consists of:

3-13 (17) one temporary director appointed by the Evergreen
3-14 Underground Water Conservation District who must be a resident of
3-15 Atascosa County, Frio County, or Wilson County.
3-16 (b) The temporary directors appointed by the Evergreen
3-17 Underground Water Conservation District and the South Central Texas
3-18 Water Advisory Committee are nonvoting members.
3-19 (c) If a vacancy occurs in a temporary director's office,
3-20 except for the two nonvoting temporary directors, the remaining
3-21 directors shall appoint a person to fill the vacancy. If a vacancy
3-22 occurs in the office of one of the nonvoting temporary directors,
3-23 the body that made that director's appointment shall appoint a
3-24 person to fill the vacancy.
3-25 (d) As soon as is practicable, the temporary board shall:
3-26 (1) meet to elect a presiding officer and other
3-27 necessary officers; and
3-28 (2) adopt rules governing the authority and board
3-29 procedures.
3-30 (e) A temporary director receives no compensation for
3-31 service on the board but is entitled to reimbursement for actual
3-32 and necessary expenses incurred in the performance of the
3-33 director's duties.
3-34 (f) A temporary director is not personally liable for any
3-35 action the director takes within the scope of the director's office
3-36 and under color of authority granted by this article.
3-37 (g) The temporary board shall order an election of directors
3-38 to be held on the uniform election date in November 1996.
3-39 Notwithstanding Section 1.09 of this article, the initial directors
3-40 elected from odd-numbered election districts described by Section
3-41 1.093 of this article serve terms expiring December 1, 1998, and
3-42 the initial directors elected from even-numbered districts
3-43 described by that section serve terms expiring December 1, 2000.
3-44 Sec. 1.093. SINGLE-MEMBER ELECTION DISTRICTS.
3-45 (a) District 1 is composed of Bexar County tracts 1203, 1204,

13-35 SECTION 2. Subsection (f), Section 1.10, Chapter 626, Acts
13-36 of the 73rd Legislature, Regular Session, 1993, is amended to read
13-37 as follows:
13-38 (f) The advisory committee by resolution may request the
13-39 board to reconsider any board action that the committee determines
13-40 is <considered> prejudicial to downstream water interests. If the
13-41 board review does not result in a resolution satisfactory to the
13-42 advisory committee and the action affects downstream water rights
13-43 or water quality, changes fees or pumping limits, or materially
13-44 impedes the advisory committee in exercising its duties under this
13-45 article, the advisory committee by resolution may request the
13-46 commission to review the action. The commission shall hold a
13-47 hearing to review the action before the 61st day after the date the
13-48 commission receives the request and make a written determination of
13-49 whether the action is prejudicial to downstream water interests or
13-50 materially impedes the advisory committee. In the determination,
13-51 the commission shall affirm the board's action or recommend that
13-52 the board modify or withdraw the action <and may make a
13-53 recommendation to the board. If the board determines that the
13-54 board's action is contrary to an action of the commission affecting
13-55 downstream interests, the board shall reverse itself>.
13-56 SECTION 3. The importance of this legislation and the
13-57 crowded condition of the calendars in both houses create an
13-58 emergency and an imperative public necessity that the
13-59 constitutional rule requiring bills to be read on three several
13-60 days in each house be suspended, and this rule is hereby suspended,
13-61 and that this Act take effect and be in force from and after its
13-62 passage, and it is so enacted.
