    1-6                         A BILL TO BE ENTITLED
    1-7                                AN ACT
    1-8  relating to the creation, administration, powers, and duties of the
    1-9  Upper Kirby Management District; granting the authority to issue
   1-10  bonds;  authorizing a tax.
   1-11        BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
   1-12        SECTION 1.  CREATION OF DISTRICT.  (a)  A special district to
   1-13  be known as the "Upper Kirby Management District" exists as a
   1-14  governmental agency, body politic and corporate, and political
   1-15  subdivision of the state.
   1-16        (b)  The name of the district may be changed by resolution of
   1-17  the board.
   1-18        (c)  The creation of the district is essential to accomplish
   1-19  the purposes of Section 52, Article III, Section 59, Article XVI,
   1-20  and Section 52-a, Article III, Texas Constitution, and other public
   1-21  purposes stated in this Act.
   1-22        SECTION 2.  LEGISLATIVE DECLARATION.  (a)  The legislature
   1-23  finds and declares that the creation of the district is necessary
   1-24  to promote, develop, encourage, and maintain employment, commerce,
   1-25  transportation, housing, tourism, recreation, arts, entertainment,
   1-26  economic development, safety, and the public welfare in an area
   1-27  traversed by Kirby Drive in the city of Houston.
   1-28        (b)  The legislature intends that the creation of the
   1-29  district and this legislation not be interpreted to relieve Harris
   1-30  County or the city of Houston from providing the present level of
   1-31  services to the area included within the district or to release the
   1-32  county or the city from the obligations each entity has to provide
   1-33  services to that area.  The district is created to supplement and
   1-34  not supplant the city or county services provided in the area
   1-35  included within the district.
   1-36        (c)  The legislature finds and intends that by creating the
   1-37  district and in authorizing the city, county, and other political
   1-38  subdivisions to contract with the district the legislature has
   1-39  established a program to accomplish the public purposes set out in
   1-40  Section 52-a, Article III, Texas Constitution.
   1-41        SECTION 3.  DEFINITIONS.  In this Act:
   1-42              (1)  "Board" means the board of directors of the
   1-43  district.
   1-44              (2)  "District" means the Upper Kirby Management
   1-45  District.
   1-46              (3)  "City" means the city of Houston, Texas.
   1-47              (4)  "County" means Harris County, Texas.
   1-48        SECTION 4.  BOUNDARIES.  (a)  The district includes all the
   1-49  acreage contained in the following forty-nine (49) tracts of land
   1-50  in the A.C. Reynolds Survey, Abstract No. 61, in the City of
   1-51  Houston, Harris County, Texas, described as follows:
   1-52  (1)  TRACT ONE:
   1-53        A tract of land being all of two tracts of land being 19,230
   1-54  Square Feet and 102,972 Square Feet, being part of and out of
   1-55  DICKEYS WEST PARK, a subdivision of land according to the map or
   1-56  plat thereof recorded in Volume 55, Page 45 of the Harris County
   1-57  Deed Records, said tract being more particularly described as
   1-58  follows:
   1-59        BEGINNING at the intersection of the existing southerly line
   1-60  of San Felipe Road with the existing east line of Kirby Drive;
   1-61        THENCE easterly along the existing southerly line of San
   1-62  Felipe Road, approximately 306.90 feet to a point for corner, same
   1-63  being the intersection of the existing southerly line of San Felipe
   1-64  Road with the west line of Argonne Street;
   1-65        THENCE southerly along the west line of Argonne Street,
   1-66  approximately 432.09 feet to the northerly line of the HUNTINGDON
   1-67  CONDOMINIUM subdivision according to the map or plat thereof
   1-68  recorded in Volume 132, Page 90 of the Condominium Records of

    2-2        THENCE westerly along the north line of said HUNTINGDON
    2-3  CONDOMINIUM subdivision, approximately 301.9 feet to the Northwest
    2-4  corner of said HUNTINGDON CONDOMINIUM subdivision, on the existing
    2-5  east line of Kirby Drive;

   2-11  recorded in Volume 9, Page 27 of the Harris County Map Records,
   2-12  said tract being more particularly described as follows:
   2-13        BEGINNING at the intersection of the existing northerly line
   2-14  of Westheimer Road with the east line of River Oaks Boulevard;
   2-15        THENCE northerly along the east line of River Oaks Boulevard,
   2-16  approximately 284.8 feet to the intersection of the south line of
   2-17  Locke Lane with the east line of River Oaks Boulevard;
   2-18        THENCE easterly along the south line of Locke Lane,

  18-52  said tract being more particularly described as follows:
  18-53        BEGINNING at the intersection of the existing north line of
  18-54  Bissonnet Avenue with the west line of Wakeforest Street;
  18-55        THENCE westerly along the existing north line of Bissonnet
  18-56  Avenue, at approximately 798.45 feet pass the east line of Belmont
  18-57  Street, and continuing across Belmont Street to the intersection of
  18-58  the east line of Buffalo Speedway with the existing north line of
  18-59  Bissonnet Avenue;
  18-60        THENCE northerly along the east line of Buffalo Speedway, at
  18-61  approximately 745.6 feet pass the south line of Purdue Street, and
  18-62  continuing across Purdue Street, along and with the existing east
  18-63  line of Buffalo Speedway to the intersection of the southerly line

  18-66  Drive to the intersection of the west line of Wakeforest Street

  18-68        THENCE southerly along the west line of Wakeforest Street,
  18-69  approximately 1,307.6 feet to the POINT OF BEGINNING, "save and
  18-70  except" all public streets and rights-of-way included therein
   19-1  including Purdue Street, Belmont Street and South Boulevard.
   19-2        (b)  The district may annex or exclude land from the district
   19-3  in the manner provided by Subchapter C, Chapter 375, Local
   19-4  Government Code.
   19-5        (c)  A current description of the district's boundaries shall
   19-6  be filed with the Texas Natural Resource Conservation Commission.
   19-7  Any mistake in the description of the district's boundaries may be
   19-8  corrected by order of the commission.
   19-9        SECTION 5.  FINDINGS RELATING TO BOUNDARIES.  The legislature
  19-10  finds that the boundaries and field notes of the district form a
  19-11  closure.  If a mistake is made in the field notes or in copying the
  19-12  field notes in the legislative process, the mistake does not in any
  19-13  way affect the:
  19-14              (1)  organization, existence, and validity of the
  19-15  district;
  19-16              (2)  right of the district to issue any type of bonds
  19-17  or refunding bonds for the purposes for which the district is
  19-18  created or to pay the principal of and interest on the bonds;
  19-19              (3)  right of the district to levy and collect
  19-20  assessments or taxes; or
  19-21              (4)  legality or operation of the district or its
  19-22  governing body.
  19-23        SECTION 6.  FINDINGS OF BENEFIT AND PUBLIC PURPOSE.  (a)  The
  19-24  legislature finds that all of the land and other property included
  19-25  within the boundaries of the district will be benefited by the
  19-26  improvements and services to be provided by the district under
  19-27  powers conferred by Section 52, Article III, Section 59, Article
  19-28  XVI, and Section 52-a, Article III, Texas Constitution, and other
  19-29  powers granted under this Act, and that the district is created to
  19-30  serve a public use and benefit.
  19-31        (b)  The legislature finds that:
  19-32              (1)  the creation of the district is in the public
  19-33  interest and is essential to:
  19-34                    (A)  further the public purposes of the
  19-35  development and diversification of the economy of the state; and
  19-36                    (B)  eliminate unemployment and underemployment
  19-37  and develop or expand transportation and commerce;
  19-38              (2)  the district will promote the health, safety, and
  19-39  general welfare of residents, employers, employees, visitors,
  19-40  consumers in the district, and the general public;
  19-41              (3)  the district will provide needed funding for the
  19-42  Kirby Drive vicinity of the city to preserve, maintain, and enhance
  19-43  the economic health and vitality of the area as a community and
  19-44  business center; and
  19-45              (4)  the district will further promote the health,
  19-46  safety, welfare, and enjoyment of the public by providing
  19-47  pedestrian ways and by landscaping and developing certain areas
  19-48  within the district, which are necessary for the restoration,
  19-49  preservation, and enhancement of scenic and aesthetic beauty.
  19-50        (c)  The legislature finds that the present and prospective
  19-51  traffic congestion in the district, the need for traffic control,
  19-52  the need to improve pedestrian safety, and the limited availability
  19-53  of money require the promotion and development of public
  19-54  transportation and pedestrian facilities and systems by new and
  19-55  alternative means.  The district will serve the public purpose of
  19-56  securing expanded and improved transportation and pedestrian
  19-57  facilities and systems.  The public transportation and pedestrian
  19-58  facilities and systems promoted and developed by the district will
  19-59  be attractive, safe, and convenient and will benefit the land and
  19-60  property in the district, the district's residents, employers,
  19-61  employees, visitors, and consumers, and the general public.
  19-62        (d)  The legislature finds and determines that pedestrian
  19-63  ways along or across a street, whether at grade or above or below
  19-64  the surface, and street lighting, street landscaping, and street
  19-65  art objects are parts of and necessary components of a street and
  19-66  are considered to be a street or road improvement.
  19-67        (e)  The district will not act as the agent or
  19-68  instrumentality of any private interest even though many private
  19-69  interests will be benefited by the district, as will the general
  19-70  public.
   20-1        (f)  A purpose of this Act is to promote and benefit
   20-2  commercial development and commercial areas in the Kirby Drive
   20-3  vicinity of the city.  The legislature finds and declares that each
   20-4  improvement project or service authorized by this Act is carried
   20-5  out for a public purpose.
   20-6        SECTION 7.  CONSTRUCTION OF ACT.  This Act shall be liberally
   20-7  construed in conformity with the legislative findings and purposes
   20-8  stated in this Act.
   20-9        SECTION 8.  BOARD OF DIRECTORS IN GENERAL.  (a)  The district
  20-10  is governed by a board of five directors who serve staggered
  20-11  four-year terms.
  20-12        (b)  Quorum requirements, concurrence for board action,
  20-13  officers' duties, and fees of office for the board are governed by
  20-14  Sections 54.107 and 54.114, Water Code.  Subchapter D, Chapter 375,
  20-15  Local Government Code, applies to the board to the extent that
  20-16  subchapter does not conflict with this Act.
  20-17        SECTION 9.  INITIAL DIRECTORS.  (a)  The initial board
  20-18  consists of the following persons:

  20-25        (b)  Of the initial directors, the directors appointed for
  20-26  positions 1 and 2 serve until June 1, 1997, and the directors
  20-27  appointed for positions 3 through 5 serve until June 1, 1999.
  20-28        SECTION 10.  SUBSEQUENT DIRECTORS.  Subsequent directors
  20-29  shall be appointed and qualify to serve in the manner provided by
  20-30  Subchapter D, Chapter 375, Local Government Code.  A vacancy in the
  20-31  office of director because of the death, resignation, or removal of
  20-32  a director shall be filled by the remaining members of the board by
  20-33  appointing a qualified person for the unexpired term.
  20-34        SECTION 11.  POWERS OF DISTRICT.  (a)  The district has all
  20-35  powers necessary or required to accomplish the purposes for which
  20-36  the district was created.
  20-37        (b)  The district has the rights, powers, privileges,
  20-38  authorities, and functions of a district created under Chapter 375,
  20-39  Local Government Code.
  20-40        (c)  The district has the powers conferred on a corporation
  20-41  under Section 4B, the Development Corporation Act of 1979 (Article
  20-42  5190.6, Vernon's Texas Civil Statutes).  The district may own,
  20-43  operate, acquire, construct, lease, improve, and maintain projects
  20-44  described by that section.
  20-45        (d)  The district may exercise the power of a housing finance
  20-46  corporation created under Chapter 394, Local Government Code.
  20-47        (e)  The district may levy, impose, assess, charge, or
  20-48  collect ad valorem taxes, assessments, impact fees, or other fees
  20-49  in accordance with Subchapters F-H, Chapter 375, Local Government
  20-50  Code, or Chapter 54, Water Code, for purposes specified in Chapter
  20-51  375, Local Government Code, or as necessary to accomplish a
  20-52  purpose, function, power, or duty for which the district is
  20-53  created.
  20-54        SECTION 12.  CONFLICTS WITH OTHER LAW.  If any provision of
  20-55  general law, including a law referenced in Section 11 of this Act,
  20-56  is in conflict with or is inconsistent with this Act, this Act
  20-57  prevails.  Any law referenced in this Act that is not in conflict
  20-58  or inconsistent with this Act is adopted and incorporated by
  20-59  reference.
  20-60        SECTION 13.  TORT CLAIMS.  The district is a unit of
  20-61  government for purposes of Chapter 101, Civil Practice and Remedies
  20-62  Code.  The operations of the district are considered to be
  20-63  essential governmental functions for all purposes and not
  20-64  proprietary functions.
  20-65        SECTION 14.  NONPROFIT CORPORATION.  (a)  The board by
  20-66  resolution may authorize the creation of a nonprofit corporation to
  20-67  aid, assist, and act on behalf of the district in implementing a
  20-68  project or providing a service authorized by this Act.
  20-69        (b)  The board shall appoint the board of directors of a
  20-70  nonprofit corporation created under this section.  The board of
   21-1  directors of  the nonprofit corporation shall serve in the same
   21-2  manner as, for the same term as, and on the conditions of the board
   21-3  of directors of a local government corporation created under the
   21-4  Texas Transportation Corporation Act (Article 1528l, Vernon's Texas
   21-5  Civil Statutes).
   21-6        (c)  A nonprofit corporation created under this section has
   21-7  the powers of and is considered for purposes of this Act to be a
   21-8  local government corporation created under the Texas Transportation
   21-9  Corporation Act (Article 1528l, Vernon's Texas Civil Statutes).
  21-10        (d)  A nonprofit corporation created under this section may
  21-11  implement any project and provide any services authorized by this
  21-12  Act.
  21-13        SECTION 15.  DEBT.  The district may issue bonds, notes, or
  21-14  other debt obligations in accordance with Subchapters I and J,
  21-15  Chapter 375, Local Government Code, for the purposes specified in
  21-16  that chapter or as may be required to accomplish the purposes,
  21-17  functions, powers, and duties for which the district is created.
  21-18        SECTION 16.  ASSESSMENTS.  (a)  An assessment imposed on
  21-19  property under this Act is a personal obligation of the person who
  21-20  owns the property on January 1 of the year for which the assessment
  21-21  is imposed.  A person is not relieved of the obligation if the
  21-22  person transfers title to the property.
  21-23        (b)  On January 1 of the year for which an assessment under
  21-24  this Act is imposed on property, a lien attaches to the property to
  21-25  secure the payment of the assessment and any interest accrued on
  21-26  the assessment.  The lien has the same priority as a lien for taxes
  21-27  of the district.
  21-28        (c)  Not later than the fourth anniversary after the date on
  21-29  which the assessment became due, the district may file suit to
  21-30  foreclose the lien on or enforce the personal obligation for, or
  21-31  both foreclose the lien on and enforce the personal obligation for,
  21-32  an assessment imposed under this Act that is not paid in a timely
  21-33  manner and any interest accrued on that assessment.
  21-34        (d)  In addition to recovering the amount of the assessment
  21-35  and interest accrued on the assessment, if any, the district may
  21-36  recover in a suit filed under this section reasonable costs,
  21-37  including attorney's fees, incurred by the district in foreclosing
  21-38  the lien or enforcing the personal obligation in an amount not to
  21-39  exceed 20 percent of the delinquent assessment and interest.
  21-40        (e)  An assessment that is delinquent for more than four
  21-41  years after the date on which the assessment became due and any
  21-42  interest imposed on the assessment is considered paid if a suit is
  21-43  not filed before the time period prescribed by Subsection (c) of
  21-44  this section.
  21-45        (f)  For purposes of a title insurance policy issued under
  21-46  Chapter 9, Insurance Code, an assessment is a tax.
  21-47        SECTION 17.  ELECTIONS.  (a)  The district shall hold
  21-48  elections in the manner provided by Subchapter L, Chapter 375,
  21-49  Local Government Code.
  21-50        (b)  The board may submit multiple purposes in a single
  21-51  proposition or may submit multiple propositions at an election.
  21-52        SECTION 18.  MAINTENANCE TAX.  (a)  If authorized at an
  21-53  election held under Section 17 of this Act, the district may levy
  21-54  and collect an annual ad valorem tax on taxable property in the
  21-55  district for the maintenance, restoration, replacement, or
  21-56  operation of the district, the improvements constructed or acquired
  21-57  by the district, or the facilities, works, or services of the
  21-58  district.
  21-59        (b)  The board shall determine the tax rate.
  21-60        SECTION 19.  DISSOLUTION OF DISTRICT.  (a)  The district may
  21-61  be dissolved as provided in Subchapter M, Chapter 375, Local
  21-62  Government Code.
  21-63        (b)  Notwithstanding Section 375.264, Local Government Code,
  21-64  a district that has debt may be dissolved as provided by Subchapter
  21-65  M, Chapter 375, Local Government Code.  If the district has debt
  21-66  and is dissolved, the district shall remain in existence solely for
  21-67  the limited purpose of discharging its bonds or other obligations
  21-68  according to their terms.
  21-69        SECTION 20.  CONTRACTS.  (a)  The district may contract with
  21-70  a state agency, a municipality, county, or other political
   22-1  subdivision of the state, a corporation, or any other person to
   22-2  carry out any purpose of this Act.  A contract under this
   22-3  subsection may:
   22-4              (1)  be for a period on which the parties agree;
   22-5              (2)  include terms on which the parties agree;
   22-6              (3)  not require further authorization, notwithstanding
   22-7  any other law or charter provisions to the contrary; and
   22-8              (4)  provide for the payment, allocation, or rebate of
   22-9  taxes or other available revenue, including project income or user
  22-10  fees.
  22-11        (b)  To protect the public interest, the district may
  22-12  contract with the city or county for the provision of law
  22-13  enforcement and security services by the county or city in the
  22-14  district on a fee basis.  The district may contract with private
  22-15  security providers to supplement the security services provided by
  22-16  the city or county.
  22-17        SECTION 21.  Competitive Bidding.  The competitive bidding
  22-18  requirement provided by Subchapter K, Chapter 375, Local Government
  22-19  Code, applies to the district.
  22-20        SECTION 22.  REINVESTMENT ZONES.  All or any part of the area
  22-21  of the district is eligible to be included in a tax incremental
  22-22  reinvestment zone created by the city under Chapter 311, Tax Code,
  22-23  or included in a tax abatement reinvestment zone created by the
  22-24  city under Chapter 312, Tax Code.
  22-25        SECTION 23.  NOTICE AND CONSENT.  The legislature finds that:
  22-26              (1)  proper and legal notice of the intention to
  22-27  introduce this Act, setting forth the general substance of this
  22-28  Act, has been published as provided by law, and the notice and a
  22-29  copy of this Act have been furnished to all persons, agencies,
  22-30  officials, or entities to which they are required to be furnished
  22-31  by the constitution and laws of this state, including the governor,
  22-32  who has submitted the notice and a copy of this Act to the Texas
  22-33  Natural Resource Conservation Commission;
  22-34              (2)  the Texas Natural Resource Conservation Commission
  22-35  has filed its recommendations relating to this Act with the
  22-36  governor, lieutenant governor, and speaker of the house of
  22-37  representatives within the required time;
  22-38              (3)  the general law relating to consent by political
  22-39  subdivisions to the creation of districts with conservation,
  22-40  reclamation, and road powers and the inclusion of land in those
  22-41  districts has been complied with; and
  22-42              (4)  all requirements of the constitution and laws of
  22-43  this state and the rules and procedures of the legislature with
  22-44  respect to the notice, introduction, and passage of this Act have
  22-45  been fulfilled and accomplished.
  22-46        SECTION 24.  EMERGENCY.  The importance of this legislation
  22-47  and the crowded condition of the calendars in both houses create an
  22-48  emergency and an imperative public necessity that the
  22-49  constitutional rule requiring bills to be read on three several
  22-50  days in each house be suspended, and this rule is hereby suspended,
  22-51  and that this Act take effect and be in force from and after its
  22-52  passage, and it is so enacted.
