                                 A BILL TO BE ENTITLED
    1-1                                AN ACT
    1-2  relating to the creation, administration, powers, and duties of the
    1-3  Upper Kirby Management District; granting the authority to issue
    1-4  bonds;  authorizing a tax.
    1-5        BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF TEXAS:
    1-6        SECTION 1.  CREATION OF DISTRICT.  (a)  A special district to
    1-7  be known as the "Upper Kirby Management District" exists as a
    1-8  governmental agency, body politic and corporate, and political
    1-9  subdivision of the state.
   1-10        (b)  The name of the district may be changed by resolution of
   1-11  the board.
   1-12        (c)  The creation of the district is essential to accomplish
   1-13  the purposes of Section 52, Article III, Section 59, Article XVI,
   1-14  and Section 52-a, Article III, Texas Constitution, and other public
   1-15  purposes stated in this Act.
   1-16        SECTION 2.  LEGISLATIVE DECLARATION.  (a)  The legislature
   1-17  finds and declares that the creation of the district is necessary
   1-18  to promote, develop, encourage, and maintain employment, commerce,
   1-19  transportation, housing, tourism, recreation, arts, entertainment,
   1-20  economic development, safety, and the public welfare in an area
   1-21  traversed by Kirby Drive in the city of Houston.
   1-22        (b)  The legislature intends that the creation of the
   1-23  district and this legislation not be interpreted to relieve Harris
   1-24  County or the city of Houston from providing the present level of
    2-1  services to the area included within the district or to release the
    2-2  county or the city from the obligations each entity has to provide
    2-3  services to that area.  The district is created to supplement and
    2-4  not supplant the city or county services provided in the area
    2-5  included within the district.
    2-6        (c)  The legislature finds and intends that by creating the
    2-7  district and in authorizing the city, county, and other political
    2-8  subdivisions to contract with the district the legislature has
    2-9  established a program to accomplish the public purposes set out in
   2-10  Section 52-a, Article III, Texas Constitution.
   2-11        SECTION 3.  DEFINITIONS.  In this Act:
   2-12              (1)  "Board" means the board of directors of the
   2-13  district.
   2-14              (2)  "District" means the Upper Kirby Management
   2-15  District.
   2-16              (3)  "City" means the city of Houston, Texas.
   2-17              (4)  "County" means Harris County, Texas.
   2-18        SECTION 4.  BOUNDARIES.  (a)  The district includes all the
   2-19  acreage contained in the following forty-nine (49) tracts of land
   2-20  in the A.C. Reynolds Survey, Abstract No. 61, in the City of
   2-21  Houston, Harris County, Texas, described as follows:
   2-22  (1)  TRACT ONE:
   2-23        A tract of land being all of two tracts of land being 19,230
   2-24  Square Feet and 102,972 Square Feet, being part of and out of
   2-25  DICKEYS WEST PARK, a subdivision of land according to the map or
   2-26  plat thereof recorded in Volume 55, Page 45 of the Harris County
   2-27  Deed Records, said tract being more particularly described as
    3-1  follows:
    3-2        BEGINNING at the intersection of the existing southerly line
    3-3  of San Felipe Road with the existing east line of Kirby Drive;
    3-4        THENCE easterly along the existing southerly line of San
    3-5  Felipe Road, approximately 306.90 feet to a point for corner, same
    3-6  being the intersection of the existing southerly line of San Felipe
    3-7  Road with the west line of Argonne Street;
    3-8        THENCE southerly along the west line of Argonne Street,
    3-9  approximately 432.09 feet to the northerly line of the HUNTINGDON
   3-10  CONDOMINIUM subdivision according to the map or plat thereof
   3-11  recorded in Volume 132, Page 90 of the Condominium Records of
   3-12  Harris County, Texas;
   3-13        THENCE westerly along the north line of said HUNTINGDON
   3-14  CONDOMINIUM subdivision, approximately 301.9 feet to the Northwest
   3-15  corner of said HUNTINGDON CONDOMINIUM subdivision, on the existing
   3-16  east line of Kirby Drive;
   3-17        THENCE northerly along the existing east line of Kirby Drive,
   3-18  approximately 377.11 feet to the POINT OF BEGINNING.
   3-19  (2)  TRACT TWO:
   3-20        A tract of land being Tract or Block 25 according to the map
   3-21  or plat of RIVER OAKS, SECTION FOUR (4), a subdivision of land
   3-22  recorded in Volume 9, Page 27 of the Harris County Map Records,
   3-23  said tract being more particularly described as follows:
   3-24        BEGINNING at the intersection of the existing northerly line
   3-25  of Westheimer Road with the east line of River Oaks Boulevard;
   3-26        THENCE northerly along the east line of River Oaks Boulevard,
   3-27  approximately 284.8 feet to the intersection of the south line of
    4-1  Locke Lane with the east line of River Oaks Boulevard;
    4-2        THENCE easterly along the south line of Locke Lane,
    4-3  approximately 393.7 feet to the intersection of the west line of
    4-4  Eastside Lane with the south line of Locke Lane;
    4-5        THENCE southerly along the west line of Eastside Lane,
    4-6  approximately 285 feet to the intersection of the west line of

   4-13  AVALON PLACE as recorded in Volume 12, Page 70 of the Harris County
   4-14  Map Records, same being part of and out of Blocks 16, 17 and 18 of
   4-15  DICKEYS WEST PARK ADDITION, a subdivision of land according to the
   4-16  map or plat thereof recorded in Volume 55, Page 45 of the Harris
   4-17  County Deed Records, and also including a portion of a closed
   4-18  street labeled as Virginia Avenue (50 feet wide) as shown on the
   4-19  said plat of SECOND ADDITION TO AVALON PLACE, said tract being more
   4-20  particularly described as follows:

   5-14  Records, said tract being more particularly described as follows:
   5-15        BEGINNING at the intersection of the existing east line of
   5-16  Kirby Drive with the existing northerly line of Westheimer Road;
   5-17        THENCE northerly along the existing east line of Kirby Drive
   5-18  to the point of intersection of the existing east line of Kirby
   5-19  Drive with the southerly line of San Saba Street;

   7-16  thereof recorded in Volume 45, Page 55 of the Harris County Deed
   7-17  Records, and being all of 2701 KIRBY, a subdivision of land
   7-18  according to the map or plat thereof recorded in Volume 348, Page

  46-22  said tract being more particularly described as follows:
  46-23        BEGINNING at the intersection of the existing north line of
  46-24  Bissonnet Avenue with the west line of Wakeforest Street;
  46-25        THENCE westerly along the existing north line of Bissonnet
  46-26  Avenue, at approximately 798.45 feet pass the east line of Belmont
  46-27  Street, and continuing across Belmont Street to the intersection of
   47-1  the east line of Buffalo Speedway with the existing north line of
   47-2  Bissonnet Avenue;
   47-3        THENCE northerly along the east line of Buffalo Speedway, at
   47-4  approximately 745.6 feet pass the south line of Purdue Street, and
   47-5  continuing across Purdue Street, along and with the existing east
   47-6  line of Buffalo Speedway to the intersection of the southerly line

   47-8        THENCE northeasterly along the southerly line of Westpark

  47-12  approximately 1,307.6 feet to the POINT OF BEGINNING, "save and
  47-13  except" all public streets and rights-of-way included therein
  47-14  including Purdue Street, Belmont Street and South Boulevard.
  47-15        (b)  The district may annex or exclude land from the district
  47-16  in the manner provided by Subchapter C, Chapter 375, Local
  47-17  Government Code.
  47-18        (c)  A current description of the district's boundaries shall
  47-19  be filed with the Texas Natural Resource Conservation Commission.
  47-20  Any mistake in the description of the district's boundaries may be
  47-21  corrected by order of the commission.
  47-22        SECTION 5.  FINDINGS RELATING TO BOUNDARIES.  The legislature
  47-23  finds that the boundaries and field notes of the district form a
  47-24  closure.  If a mistake is made in the field notes or in copying the
  47-25  field notes in the legislative process, the mistake does not in any
  47-26  way affect the:
  47-27              (1)  organization, existence, and validity of the
   48-1  district;
   48-2              (2)  right of the district to issue any type of bonds
   48-3  or refunding bonds for the purposes for which the district is
   48-4  created or to pay the principal of and interest on the bonds;
   48-5              (3)  right of the district to levy and collect
   48-6  assessments or taxes; or
   48-7              (4)  legality or operation of the district or its
   48-8  governing body.
   48-9        SECTION 6.  FINDINGS OF BENEFIT AND PUBLIC PURPOSE.  (a)  The
  48-10  legislature finds that all of the land and other property included
  48-11  within the boundaries of the district will be benefited by the
  48-12  improvements and services to be provided by the district under
  48-13  powers conferred by Section 52, Article III, Section 59, Article
  48-14  XVI, and Section 52-a, Article III, Texas Constitution, and other
  48-15  powers granted under this Act, and that the district is created to
  48-16  serve a public use and benefit.
  48-17        (b)  The legislature finds that:
  48-18              (1)  the creation of the district is in the public
  48-19  interest and is essential to:
  48-20                    (A)  further the public purposes of the
  48-21  development and diversification of the economy of the state; and
  48-22                    (B)  eliminate unemployment and underemployment
  48-23  and develop or expand transportation and commerce;
  48-24              (2)  the district will promote the health, safety, and
  48-25  general welfare of residents, employers, employees, visitors,
  48-26  consumers in the district, and the general public;
  48-27              (3)  the district will provide needed funding for the
   49-1  Kirby Drive vicinity of the city to preserve, maintain, and enhance
   49-2  the economic health and vitality of the area as a community and
   49-3  business center; and
   49-4              (4)  the district will further promote the health,
   49-5  safety, welfare, and enjoyment of the public by providing
   49-6  pedestrian ways and by landscaping and developing certain areas
   49-7  within the district, which are necessary for the restoration,
   49-8  preservation, and enhancement of scenic and aesthetic beauty.
   49-9        (c)  The legislature finds that the present and prospective
  49-10  traffic congestion in the district, the need for traffic control,
  49-11  the need to improve pedestrian safety, and the limited availability
  49-12  of money require the promotion and development of public
  49-13  transportation and pedestrian facilities and systems by new and
  49-14  alternative means.  The district will serve the public purpose of
  49-15  securing expanded and improved transportation and pedestrian
  49-16  facilities and systems.  The public transportation and pedestrian
  49-17  facilities and systems promoted and developed by the district will
  49-18  be attractive, safe, and convenient and will benefit the land and
  49-19  property in the district, the district's residents, employers,
  49-20  employees, visitors, and consumers, and the general public.
  49-21        (d)  The legislature finds and determines that pedestrian
  49-22  ways along or across a street, whether at grade or above or below
  49-23  the surface, and street lighting, street landscaping, and street
  49-24  art objects are parts of and necessary components of a street and
  49-25  are considered to be a street or road improvement.
  49-26        (e)  The district will not act as the agent or
  49-27  instrumentality of any private interest even though many private
   50-1  interests will be benefited by the district, as will the general
   50-2  public.
   50-3        (f)  A purpose of this Act is to promote and benefit
   50-4  commercial development and commercial areas in the Kirby Drive
   50-5  vicinity of the city.  The legislature finds and declares that each
   50-6  improvement project or service authorized by this Act is carried
   50-7  out for a public purpose.
   50-8        SECTION 7.  CONSTRUCTION OF ACT.  This Act shall be liberally
   50-9  construed in conformity with the legislative findings and purposes
  50-10  stated in this Act.
  50-11        SECTION 8.  BOARD OF DIRECTORS IN GENERAL.  (a)  The district
  50-12  is governed by a board of five directors who serve staggered
  50-13  four-year terms.
  50-14        (b)  Quorum requirements, concurrence for board action,
  50-15  officers' duties, and fees of office for the board are governed by
  50-16  Sections 54.107 and 54.114, Water Code.  Subchapter D, Chapter 375,
  50-17  Local Government Code, applies to the board to the extent that
  50-18  subchapter does not conflict with this Act.
  50-19        SECTION 9.  INITIAL DIRECTORS.  (a)  The initial board
  50-20  consists of the following persons:

  50-27        (b)  Of the initial directors, the directors appointed for
   51-1  positions 1 and 2 serve until June 1, 1997, and the directors
   51-2  appointed for positions 3 through 5 serve until June 1, 1999.
   51-3        SECTION 10.  SUBSEQUENT DIRECTORS.  Subsequent directors
   51-4  shall be appointed and qualify to serve in the manner provided by
   51-5  Subchapter D, Chapter 375, Local Government Code.  A vacancy in the
   51-6  office of director because of the death, resignation, or removal of
   51-7  a director shall be filled by the remaining members of the board by
   51-8  appointing a qualified person for the unexpired term.
   51-9        SECTION 11.  POWERS OF DISTRICT.  (a)  The district has all
  51-10  powers necessary or required to accomplish the purposes for which
  51-11  the district was created.
  51-12        (b)  The district has the rights, powers, privileges,
  51-13  authorities, and functions of a district created under Chapter 375,
  51-14  Local Government Code.
  51-15        (c)  The district has the powers conferred on a corporation
  51-16  under Section 4B, the Development Corporation Act of 1979 (Article
  51-17  5190.6, Vernon's Texas Civil Statutes).  The district may own,
  51-18  operate, acquire, construct, lease, improve, and maintain projects
  51-19  described by that section.
  51-20        (d)  The district may exercise the power of a housing finance
  51-21  corporation created under Chapter 394, Local Government Code.
  51-22        (e)  The district may levy, impose, assess, charge, or
  51-23  collect ad valorem taxes, assessments, impact fees, or other fees
  51-24  in accordance with Subchapters F-H, Chapter 375, Local Government
  51-25  Code, or Chapter 54, Water Code, for purposes specified in Chapter
  51-26  375, Local Government Code, or as necessary to accomplish a
  51-27  purpose, function, power, or duty for which the district is
   52-1  created.
   52-2        SECTION 12.  CONFLICTS WITH OTHER LAW.  If any provision of
   52-3  general law, including a law referenced in Section 11 of this Act,
   52-4  is in conflict with or is inconsistent with this Act, this Act
   52-5  prevails.  Any law referenced in this Act that is not in conflict
   52-6  or inconsistent with this Act is adopted and incorporated by
   52-7  reference.
   52-8        SECTION 13.  TORT CLAIMS.  The district is a unit of
   52-9  government for purposes of Chapter 101, Civil Practice and Remedies
  52-10  Code.  The operations of the district are considered to be
  52-11  essential governmental functions for all purposes and not
  52-12  proprietary functions.
  52-13        SECTION 14.  NONPROFIT CORPORATION.  (a)  The board by
  52-14  resolution may authorize the creation of a nonprofit corporation to
  52-15  aid, assist, and act on behalf of the district in implementing a
  52-16  project or providing a service authorized by this Act.
  52-17        (b)  The board shall appoint the board of directors of a
  52-18  nonprofit corporation created under this section.  The board of
  52-19  directors of  the nonprofit corporation shall serve in the same
  52-20  manner as, for the same term as, and on the conditions of the board
  52-21  of directors of a local government corporation created under the
  52-22  Texas Transportation Corporation Act (Article 1528l, Vernon's Texas
  52-23  Civil Statutes).
  52-24        (c)  A nonprofit corporation created under this section has
  52-25  the powers of and is considered for purposes of this Act to be a
  52-26  local government corporation created under the Texas Transportation
  52-27  Corporation Act (Article 1528l, Vernon's Texas Civil Statutes).
   53-1        (d)  A nonprofit corporation created under this section may
   53-2  implement any project and provide any services authorized by this
   53-3  Act.
   53-4        SECTION 15.  DEBT.  The district may issue bonds, notes, or
   53-5  other debt obligations in accordance with Subchapters I and J,
   53-6  Chapter 375, Local Government Code, for the purposes specified in
   53-7  that chapter or as may be required to accomplish the purposes,
   53-8  functions, powers, and duties for which the district is created.
   53-9        SECTION 16.  ASSESSMENTS.  (a)  An assessment imposed on
  53-10  property under this Act is a personal obligation of the person who
  53-11  owns the property on January 1 of the year for which the assessment
  53-12  is imposed.  A person is not relieved of the obligation if the
  53-13  person transfers title to the property.
  53-14        (b)  On January 1 of the year for which an assessment under
  53-15  this Act is imposed on property, a lien attaches to the property to
  53-16  secure the payment of the assessment and any interest accrued on
  53-17  the assessment.  The lien has the same priority as a lien for taxes
  53-18  of the district.
  53-19        (c)  Not later than the fourth anniversary after the date on
  53-20  which the assessment became due, the district may file suit to
  53-21  foreclose the lien on or enforce the personal obligation for, or
  53-22  both foreclose the lien on and enforce the personal obligation for,
  53-23  an assessment imposed under this Act that is not paid in a timely
  53-24  manner and any interest accrued on that assessment.
  53-25        (d)  In addition to recovering the amount of the assessment
  53-26  and interest accrued on the assessment, if any, the district may
  53-27  recover in a suit filed under this section reasonable costs,
   54-1  including attorney's fees, incurred by the district in foreclosing
   54-2  the lien or enforcing the personal obligation in an amount not to
   54-3  exceed 20 percent of the delinquent assessment and interest.
   54-4        (e)  An assessment that is delinquent for more than four
   54-5  years after the date on which the assessment became due and any
   54-6  interest imposed on the assessment is considered paid if a suit is
   54-7  not filed before the time period prescribed by Subsection (c) of
   54-8  this section.
   54-9        (f)  For purposes of a title insurance policy issued under
  54-10  Chapter 9, Insurance Code, an assessment is a tax.
  54-11        SECTION 17.  ELECTIONS.  (a)  The district shall hold
  54-12  elections in the manner provided by Subchapter L, Chapter 375,
  54-13  Government Code.
  54-14        (b)  The board may submit multiple purposes in a single
  54-15  proposition or may submit multiple propositions at an election.
  54-16        SECTION 18.  MAINTENANCE TAX.  (a)  If authorized at an
  54-17  election held under Section 17 of this Act, the district may levy
  54-18  and collect an annual ad valorem tax on taxable property in the
  54-19  district for the maintenance, restoration, replacement, or
  54-20  operation of the district, the improvements constructed or acquired
  54-21  by the district, or the facilities, works, or services of the
  54-22  district.
  54-23        (b)  The board shall determine the tax rate.
  54-24        SECTION 19.  DISSOLUTION OF DISTRICT.  (a)  The district may
  54-25  be dissolved as provided in Subchapter M, Chapter 375, Local
  54-26  Government Code.
  54-27        (b)  Notwithstanding Section 375.264, Local Government Code,
   55-1  a district that has debt may be dissolved as provided by Subchapter
   55-2  M, Chapter 375, Local Government Code.  If the district has debt
   55-3  and is dissolved, the district shall remain in existence solely for
   55-4  the limited purpose of discharging its bonds or other obligations
   55-5  according to their terms.
   55-6        SECTION 20.  CONTRACTS.  (a)  The district may contract with
   55-7  a state agency, a municipality, county, or other political
   55-8  subdivision of the state, a corporation, or any other person to
   55-9  carry out any purpose of this Act.  A contract under this
  55-10  subsection may:
  55-11              (1)  be for a period on which the parties agree;
  55-12              (2)  include terms on which the parties agree;
  55-13              (3)  not require further authorization, notwithstanding
  55-14  any other law or charter provisions to the contrary; and
  55-15              (4)  provide for the payment, allocation, or rebate of
  55-16  taxes or other available revenue, including project income or user
  55-17  fees.
  55-18        (b)  To protect the public interest, the district may
  55-19  contract with the city or county for the provision of law
  55-20  enforcement and security services by the county or city in the
  55-21  district on a fee basis.  The district may contract with private
  55-22  security providers to supplement the security services provided by
  55-23  the city or county.
  55-24        SECTION 21.  Competitive Bidding.  A contract, other than a
  55-25  contract for services, for more than $25,000 for the construction
  55-26  of improvements or the purchase of material, machinery, equipment,
  55-27  supplies, and other property, except real property, may be entered
   56-1  into only after competitive bids.   Notice of the contract for the
   56-2  purpose of soliciting bids shall be published once a week for two
   56-3  consecutive weeks in a newspaper with general circulation in the
   56-4  area in which the district is located.  The first publication of
   56-5  notice must be not later than the 15th day before the date set for
   56-6  receiving bids.  The board may adopt rules governing receipt of
   56-7  bids and the award of the contract and providing for the waiver of
   56-8  the competitive bid requirement if:
   56-9              (1)  there is an emergency;
  56-10              (2)  the needed materials are available from only one
  56-11  source;
  56-12              (3)  in a procurement requiring design by the supplier
  56-13  competitive bidding would not be appropriate and competitive
  56-14  negotiation, with proposals solicited from an adequate number of
  56-15  qualified sources, would permit reasonable competition consistent
  56-16  with the nature and requirements of the procurement; or
  56-17              (4)  after solicitation, it is ascertained that there
  56-18  will be only one bidder.
  56-19        SECTION 22.  REINVESTMENT ZONES.  All or any part of the area
  56-20  of the district is eligible to be included in a tax incremental
  56-21  reinvestment zone created by the city under Chapter 311, Tax Code,
  56-22  or included in a tax abatement reinvestment zone created by the
  56-23  city under Chapter 312, Tax Code.
  56-24        SECTION 23.  NOTICE AND CONSENT.  The legislature finds that:
  56-25              (1)  proper and legal notice of the intention to
  56-26  introduce this Act, setting forth the general substance of this
  56-27  Act, has been published as provided by law, and the notice and a
   57-1  copy of this Act have been furnished to all persons, agencies,
   57-2  officials, or entities to which they are required to be furnished
   57-3  by the constitution and laws of this state, including the governor,
   57-4  who has submitted the notice and a copy of this Act to the Texas
   57-5  Natural Resource Conservation Commission;
   57-6              (2)  the Texas Natural Resource Conservation Commission
   57-7  has filed its recommendations relating to this Act with the
   57-8  governor, lieutenant governor, and speaker of the house of
   57-9  representatives within the required time;
  57-10              (3)  the general law relating to consent by political
  57-11  subdivisions to the creation of districts with conservation,
  57-12  reclamation, and road powers and the inclusion of land in those
  57-13  districts has been complied with; and
  57-14              (4)  all requirements of the constitution and laws of
  57-15  this state and the rules and procedures of the legislature with
  57-16  respect to the notice, introduction, and passage of this Act have
  57-17  been fulfilled and accomplished.
  57-18        SECTION 24.  EMERGENCY.  The importance of this legislation
  57-19  and the crowded condition of the calendars in both houses create an
  57-20  emergency and an imperative public necessity that the
  57-21  constitutional rule requiring bills to be read on three several
  57-22  days in each house be suspended, and this rule is hereby suspended,
  57-23  and that this Act take effect and be in force from and after its
  57-24  passage, and it is so enacted.
