Amend HB 1637 by adding the following appropriately numbered 
SECTION and renumbering subsequent SECTIONS accordingly:
	SECTION _____.  Section 4.04(a), Texas Revised Partnership 
Act (Article 6132b-4.04, Vernon's Texas Civil Statutes), is amended 
to read as follows:
	(a)  Duties.  A partner owes to the partnership, [and] the 
other partners, and successors of deceased partners:
		(1)  a duty of loyalty; and                                                   
		(2)  a duty of care.
