Amend CSHB 3 as follows:                                                     

	(1)  On page 7, line 23, strike "or".                                   

	(2)  On page 7, line 29, strike the period and Substitute:  "; 

or     

		(3)  during the period on which earned surplus is 

based, the corporation received the amount from a person or entity 

that is not a related party, and on behalf of that unrelated person 

or entity, paid that amount to the related party in an arm's length 

transaction."
