Amend CSSB 1057 (senate committee report) in SECTION 1 of the bill, immediately following added Section 21.373(c), Business Organizations Code (page 1, between lines 56 and 57), by inserting the following appropriately lettered subsection and relettering subsequent subsections of that section and cross-references to those subsections accordingly:

( ) A nationally listed corporation shall include in any proxy statement provided to shareholders specific information about the process by which a shareholder or group of shareholders may submit a proposal on a matter requiring shareholder approval, including information for how shareholders may contact other shareholders for the purpose of satisfying the ownership requirements in this section.
