Amend SB 2337 (house committee report) as follows:

(1)  Insert the following on page 8 after line 4:

SECTION 3. NONAPPLICABILITY TO CERTAIN PROXY ADVISORS. (a) The provisions of this subchapter do not apply to a proxy advisor who offers custom or specialty policies that seek to protect and maximize investments whilst generally aligning with the board recommendations on environmental and social matters.

(b)  Compliance with Subsection (a) is adequately demonstrated by prominently displaying the voting policies or guidelines described by that subsection on the proxy advisor's website.

(2)  Renumber subsequent sections.
